GoZen Allbound360 — Terms & Conditions

1. Introduction and Acceptance

These Terms & Conditions (the “Terms” or this “Agreement“) govern your access to and use of GoZen Allbound360 and any related websites, applications, tools, integrations, and services (collectively, the “Service“). The Service is provided by GoZen Technologies (“GoZen,” “Allbound360,” “we,” “us,” or “our“).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are entering into this Agreement on behalf of a company or other organization, you represent that you have authority to bind that entity, and “you” and “Customer” refer to that entity. If you do not agree to these Terms, do not use the Service.

2. Definitions

• “Account” means the account you register to access the Service.
• “Customer Data” means any data, content, contacts, messages, posts, or other materials you submit to, upload to, generate through, or authorize the Service to access on your behalf.
• “Permitted User” means an individual you authorize to use the Service under your Account.
• “Third-Party Platform” means any product or service not provided by GoZen that is integrated with or accessed through the Service, including LinkedIn.
• “Subscription Term” means the period for which you have purchased access to the Service.

3. The Service and License

Subject to your compliance with these Terms and payment of applicable fees, GoZen grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your Subscription Term, solely for your own internal business purposes. Allbound360 provides LinkedIn inbound features (such as content creation, scheduling, and presence-building) and outbound features (such as automated messaging, multi-step campaigns, and a unified inbox), together with related tools.

We may update, modify, enhance, or discontinue features of the Service at any time. We have no obligation to provide any particular feature or to continue offering the Service in its current form.

4. Eligibility and Account

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. You agree to provide accurate, current, and complete registration information and to keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, whether or not authorized by you. User IDs are for named individuals and may not be shared. You must notify us promptly of any unauthorized use of your Account. If a Permitted User is no longer authorized, you must promptly revoke their access.

5. LinkedIn and Other Third-Party Platforms

5.1. Integration and authorization. The Service connects to and operates with Third-Party Platforms, including LinkedIn. When you connect a LinkedIn (or other Third-Party Platform) account, you authorize the Service to access that account and to take actions on your behalf as directed by your use of the Service (for example, publishing content, sending connection requests, or sending messages). You are responsible for maintaining your Third-Party Platform accounts in good standing and for providing valid credentials.

5.2. No affiliation with LinkedIn. GoZen Allbound360 is an independent service. It is not affiliated with, endorsed by, sponsored by, or otherwise associated with LinkedIn Corporation or its affiliates. “LinkedIn” and related marks are trademarks of LinkedIn Corporation. Any reference to LinkedIn is for identification and interoperability purposes only.

5.3. Your responsibility for platform terms. You are solely responsible for reviewing and complying with the terms, policies, and community guidelines of every Third-Party Platform you use with the Service, including LinkedIn’s User Agreement and Professional Community Policies. You agree not to use the Service in any way that violates those terms. If a Third-Party Platform changes its terms or technical access, features of the Service may change, be limited, or become unavailable.

5.4. Account risk and no liability for platform actions. You acknowledge that automating or scaling activity on a Third-Party Platform carries inherent risk, and that a Third-Party Platform may, at its own discretion, rate-limit, restrict, suspend, ban, or otherwise take action against your account or content. You use the Service at your own risk. To the maximum extent permitted by law, GoZen is not responsible or liable for any action taken against you, your account, your content, or your data by LinkedIn or any other Third-Party Platform, including any restriction, suspension, ban, loss of connections, or loss of data. We do not guarantee any particular outcome, deliverability, reach, or that your use of the Service will comply with any Third-Party Platform’s terms.

5.5. Safety settings and limits. We may provide, recommend, or enforce usage limits, sending caps, warm-up behavior, or other safety settings. You are responsible for configuring and using the Service responsibly, including staying within reasonable activity limits. We may, at our discretion, modify, suspend, or disable any integration at any time, with or without notice.

6. Acceptable Use

You agree not to, and not to permit any Permitted User or third party to:

• use the Service to send spam or unsolicited bulk communications in violation of applicable law, or in a manner that is harassing, deceptive, misleading, defamatory, obscene, or otherwise unlawful;
• use the Service in violation of any anti-spam, data-protection, marketing, or communications laws applicable to you or your recipients (including, where applicable, GDPR/ePrivacy, CAN-SPAM, and CASL), or fail to honor opt-out, unsubscribe, or do-not-contact requests;
• collect, upload, or process contact or personal data without a valid legal basis and all necessary rights and consents;
• rent, sell, sublicense, resell, or provide access to the Service (or data obtained through it) to a third party except as expressly permitted;
• reverse engineer, decompile, disassemble, or attempt to derive source code or non-public APIs, except to the extent permitted by law;
• copy, modify, or create derivative works of the Service or its documentation;
• remove or obscure any proprietary notices; probe, scan, or test the vulnerability of the Service; or interfere with or disrupt its integrity, security, or performance; or
• use the Service to infringe intellectual property or privacy rights, or to violate any Third-Party Platform’s terms.

We may suspend or terminate access, remove content, or take other action if we reasonably believe you have violated this Section or created risk or possible legal exposure for us or others.

7. Customer Data and Content

7.1. Ownership. As between you and GoZen, you retain all rights in your Customer Data. You grant GoZen a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and otherwise use Customer Data solely to provide, secure, and improve the Service and as otherwise described in our Privacy Policy.

7.2. Your responsibilities. You represent and warrant that you have all rights, consents, and permissions necessary to provide the Customer Data and to authorize the activities you carry out through the Service, and that your Customer Data and your use of the Service do not violate any law, third-party right, or Third-Party Platform terms. You are fully responsible for all Customer Data and for all outreach conducted through the Service.

7.3. Data protection roles. For personal data you process through the Service in connection with your outreach and campaigns, you act as the data controller and GoZen acts as your data processor. Further detail is set out in our Privacy Policy and, where applicable, a Data Processing Addendum.

7.4. Enriched and third-party data. The Service may surface or retrieve publicly available or third-party-sourced business contact information. Such data is provided “as is,” may be incomplete, inaccurate, or outdated, and is not verified or guaranteed by GoZen. You are solely responsible for ensuring that any collection, storage, or outreach using such data complies with all applicable laws.

8. AI-Powered Features

The Service uses artificial intelligence, including models operated by third-party providers, to generate and assist with content such as posts and messages. Inputs you provide (and certain Customer Data) may be transmitted to these AI providers to generate output. AI-generated output may be inaccurate, incomplete, or unsuitable, and you are responsible for reviewing and approving any content before it is published or sent. Where required, we obtain your consent for AI-driven features, and you may control or opt out of certain AI features through your settings.

9. Fees, Billing, and Renewals

You agree to pay all fees for the plan you select. Unless stated otherwise, subscriptions renew automatically for successive periods equal to the then-current Subscription Term unless cancelled before the renewal date. Except as expressly stated in these Terms or required by law, fees are non-refundable. You are responsible for all applicable taxes. We may suspend the Service if your account is overdue. We may change our fees, with notice, effective upon your next renewal.

10. Term and Termination

This Agreement remains in effect for the duration of your Subscription Term and any renewals. Either party may terminate for material breach that remains uncured for thirty (30) days after written notice. We may suspend or terminate immediately if you breach Sections 5, 6, or 7, or to protect the Service or third parties. Upon termination, your right to use the Service ends and you must cease all use. Following termination, we may delete your Customer Data after a reasonable period; you are responsible for exporting any data you wish to retain before termination. Provisions that by their nature should survive (including Sections 5.4, 6, 7, 8, 11–16) will survive.

11. Intellectual Property

The Service, including all software, content, features, functionality, and design, and all related intellectual property rights, are owned by GoZen and its licensors and are protected by applicable laws. Except for the limited license granted to you, no rights are transferred. If you submit feedback or suggestions, you grant GoZen a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

12. Third-Party Links and Services

The Service may contain links to, or integrations with, third-party websites and services that we do not control. We are not responsible for their content, accuracy, practices, or policies. Your use of any third-party website or service is governed by that party’s own terms and privacy policy.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOZEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT IT WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULTS, OR THAT YOUR USE WILL COMPLY WITH ANY THIRD-PARTY PLATFORM’S TERMS. ANY MATERIAL OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOZEN AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, ANY ACTION TAKEN AGAINST YOUR ACCOUNT BY A THIRD-PARTY PLATFORM. IN ALL CASES, GOZEN’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO GOZEN FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless GoZen and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service or any Third-Party Platform; (c) your violation of these Terms or any law or regulation; or (d) your violation of any third-party right or any Third-Party Platform’s terms.

16. General Terms

16.1. Modifications to these Terms. We may revise these Terms from time to time. If a change is material, we will provide reasonable notice (for example, through the Service or by email). Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.

16.2. Governing law and disputes. This Agreement is governed by the laws of India, without regard to conflict-of-laws principles. The parties will first attempt to resolve any dispute in good faith through informal negotiation after written notice. Any dispute that cannot be resolved will be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India. Nothing prevents either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information.

16.3. Assignment. You may not assign this Agreement without our prior written consent, except in connection with a merger or sale of substantially all your assets. We may assign this Agreement freely.

16.4. Severability and waiver. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver.

16.5. Force majeure. Neither party is liable for delays or failures (other than payment obligations) caused by events beyond its reasonable control.

16.6. Export and sanctions compliance. You represent that you are not located in, or a national of, any embargoed or restricted jurisdiction and are not on any applicable prohibited-parties list, and you agree to comply with all applicable export and sanctions laws.

16.7. Independent contractors. The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.

16.8. Entire agreement. These Terms, together with the Privacy Policy and any order or plan you accept, constitute the entire agreement between you and GoZen regarding the Service and supersede all prior agreements on the subject.
